Software AG to Issue Promissory Notes

  • Nominal amount aimed at €150 million
  • Company wants to secure low interest rates
  • Meetings with investors to take place this week

Darmstadt, Germany, 6/5/2013

Software AG will begin meeting with investors tomorrow to market promissory notes worth a nominal value of €150 million.

The promissory note loan will have four tranches with a maximum term of four years at a fixed or variable interest rate. Software AG will offer the promissory notes in both euros and U.S. dollars in minimum denominations of 500,000.00 in either currency. The transaction will be managed by Landesbank Hessen-Thüringen Helaba, HSBC Trinkaus & Burkhardt AG and IKB Deutsche Industriebank AG. A demand-driven increase to the nominal amount is possible. The order book is scheduled to close on June 26, 2013.

Software AG's CFO, Arnd Zinnhardt, elaborates, "In light of the European Central Bank's most recent decision, we want to take advantage of the low interest rate to reduce our financing expenses and replenish our cash reserves for further growth through acquisitions."

Software AG made three acquisitions during the first half of the current fiscal year. In March, the company invested in metaquark, a German startup for mobile solutions. In April, it then acquired LongJump, a provider of cloud platforms based in Santa Clara, California. In June, the Darmstadt-based company bought alfabet AG, based in Berlin, Germany—a leading vendor of IT portfolio planning and optimization solutions. This transaction is pending approval by German antitrust authorities.

This promissory note issue is the third transaction of its kind for Software AG. In the past the company's promissory notes have resonated extremely well with the capital market. Software AG will hold special conferences tomorrow and Friday to introduce itself to investors. The presentation will be available to the public on Software AG's website.
