The term Corporate Governance stands for responsible corporate management and control geared to long-term value creation. Efficient cooperation between Executive Board and Supervisory Board, respect for stockholder interests, openness and transparency of corporate communications are key aspects of good corporate governance.

Good corporate governance is a core component of management at Software AG. The Executive Board and the Supervisory Board are committed to it, and all our divisions guide themselves by it. Responsible, qualified and transparent corporate governance focuses on a company’s long-term success. It includes both compliance with the law and extensively following generally accepted standards and recommendations.

The focus is on values such as sustainability, transparency and value orientation.

Global Code of Business Conduct and Ethics

A company's reputation is one of its most valuable assets. The relationships between the company's employees, customers, partners, shareholders as well as competitors are based on this. This Code is the foundation for acting responsibly and with integrity throughout Software AG.

We are all guided, privately as well as in our professional lives, by our very own code of conduct and personal values which are influenced by our upbringing, education and experience but also through social requirements such as laws and regulations. In most cases we intuitively know what the right thing to do is. We personally know what it means to act with integrity. In this Code of Business Conduct and Ethics we have described what this means for Software AG as a global corporation.

Public Disclosure Policy

Software AG is listed on the Frankfurt Stock Exchange and included in Deutsche Börse’s TecDAX index of technology companies. Therefore it is subject to strict communication regulations
concerning communication to financial analysts, investors, the media and the public in general.

This disclosure policy defines the frame in which communication at Software AG will be handled.
